J Squared Consulting Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of services provided by J Squared Consulting ("Company," "we," "us," or "our") to you ("Client," "you," or "your"). By engaging with our services, you agree to the terms outlined in this Agreement.
1. Services Provided
J Squared Consulting offers business consulting services that may include, but are not limited to:
- Strategy Development: Business, financial, marketing, and operational strategies.
- Process Improvement: Assessing and optimizing internal processes.
- Market Research & Analysis: Industry trends, customer insights, competitive analysis.
- Project Management: Overseeing specific projects to improve business operations.
- Training & Workshops: Tailored workshops on leadership, team development, or other business needs.
- Other Consulting Services as mutually agreed upon in the Service Agreement.
The specific services will be outlined in detail in your personalized Service Agreement or proposal.
2. Engagement and Agreement
Upon signing this Agreement or a separate Service Agreement, the Client acknowledges their acceptance of the scope of work, timeline, fees, and deliverables. Any additional work outside the outlined scope will be subject to new terms and may incur additional fees.
3. Payment Terms
- Fees: Client agrees to pay for the services as outlined in the Service Agreement or proposal. A detailed breakdown of fees, billing structure, and payment schedule will be provided.
- Invoicing: Invoices will be issued on a [monthly/bi-weekly/other] basis, based on the agreed payment terms in the Service Agreement. All invoices must be paid within [insert number of days] days unless otherwise specified.
- Late Fees: Payments received after [insert number of days] days from the invoice date will incur a late fee of [insert percentage]% per month on the outstanding balance.
- Payment Methods: Payments can be made by [bank transfer, credit card, check, or other methods].
4. Client Responsibilities
- Information Sharing: The Client agrees to provide timely and accurate information, documents, and access to necessary personnel or systems for the successful delivery of consulting services.
- Collaboration: The Client agrees to actively participate in meetings, feedback sessions, and strategic discussions necessary for the execution of the project.
- Decision-Making: The Client will be responsible for making key business decisions based on the advice and recommendations provided by J Squared Consulting.
5. Confidentiality
Both parties agree to keep all confidential information shared during the engagement confidential. Confidential information includes business strategies, data, financial information, and any other proprietary details related to the business. This clause survives the termination of the agreement.
6. Intellectual Property
- Ownership of Deliverables: All intellectual property created during the course of the consulting services, including reports, strategies, presentations, and custom designs, will be the property of [choose: J Squared Consulting or the Client], unless otherwise agreed upon in the Service Agreement.
- License: If a license is granted to use any intellectual property, it will be non-transferable and non-exclusive, as outlined in the Service Agreement.
7. Termination
- By Either Party: Either party may terminate this Agreement with written notice, subject to the terms in the Service Agreement. Any fees due for work completed before the termination date must be paid in full.
- For Non-Payment: If the Client fails to make payments as agreed upon, J Squared Consulting reserves the right to suspend services until payment is received.
- For Breach of Terms: If either party breaches any of the terms, the other party may terminate this Agreement after providing notice and a reasonable period to remedy the breach.
8. Limitation of Liability
J Squared Consulting will not be liable for any indirect, incidental, or consequential damages arising from the use of its services. Our liability will be limited to the total fees paid by the Client for the services rendered under this Agreement.
9. Indemnification
The Client agrees to indemnify and hold harmless J Squared Consulting from any claims, losses, or damages arising from the use of our services, including third-party claims based on Client-provided content or actions.
10. Force Majeure
Neither party will be held responsible for any delay or failure in performance due to causes beyond their reasonable control, including but not limited to natural disasters, pandemics, government regulations, or strikes.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles.
12. Dispute Resolution
In the event of a dispute, the parties agree to attempt to resolve the issue through informal discussions. If the dispute cannot be resolved informally, the parties agree to resolve the issue through binding arbitration or mediation in [Insert Location].
13. Amendments
J Squared Consulting reserves the right to amend these Terms and Conditions at any time. Changes will be communicated to the Client, and the updated Terms will take effect immediately upon posting.
14. Entire Agreement
This Agreement, along with any Service Agreements, proposals, and related documents, constitutes the entire agreement between the parties and supersedes all prior communications, whether written or oral, regarding the subject matter of this Agreement.
